Terms of Service
1. Acceptance
These Terms of Service ("Terms") form a binding agreement between you ("you" or "your") and the AgendaDeck team ("AgendaDeck", "we", "us", or "our") covering your purchase and use of the AgendaDeck Stream Deck plugin and the website at agendadeck.com (together, the "Service"). By installing or using the Service you agree to these Terms. If you don't agree, don't install the plugin.
2. License
Subject to these Terms and your payment of the applicable fee, we grant you a non-exclusive, non-transferable, revocable license to install and use AgendaDeck on Stream Deck devices that you own or control, for your personal or internal business use.
You may not:
- Resell, redistribute, sublicense, or rent the plugin or any part of it.
- Reverse-engineer, decompile, or disassemble the plugin, except to the extent applicable law expressly permits.
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices.
- Use the plugin to violate any applicable law or any third party's rights.
AgendaDeck and the AgendaDeck name and logo are trademarks of the AgendaDeck team. All rights not expressly granted are reserved.
3. Purchase, refunds, and pricing
AgendaDeck is sold for a one-time fee (currently $4.99 USD) through the Elgato Marketplace. The Elgato Marketplace is the merchant of record for your purchase, handles billing and payment, and is the first point of contact for refund requests. Refund eligibility, process, and timing are governed by Elgato's terms.
Prices may change over time. The price you see on the Elgato Marketplace at checkout is what you'll pay; previously purchased copies are not affected by future price changes.
4. Acceptable use
You agree not to:
- Use the Service in a way that interferes with or disrupts the Service or any third-party service AgendaDeck connects to.
- Attempt to gain unauthorized access to any part of the Service or to any systems or networks connected to the Service.
- Use the Service to access calendar data you do not have permission to access.
- Use the Service to violate the terms of service of Google, Microsoft, Apple, or any other third-party calendar provider.
5. Third-party services
The Service connects to third-party calendar providers (Google, Microsoft, Apple) on your behalf. Your use of those providers is governed by each provider's own terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of those providers, and an outage or change on their side may affect the Service.
6. Updates and availability
We may update AgendaDeck from time to time to add features, fix bugs, or maintain compatibility with the Stream Deck SDK and calendar provider APIs. Updates are delivered through the Elgato Marketplace and the Stream Deck app's update mechanism. We do not guarantee any particular uptime or update cadence.
7. No warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT IT WILL DISPLAY YOUR CALENDAR ACCURATELY IN ALL CIRCUMSTANCES. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY MEETING TIME, LOCATION, OR JOIN LINK BEFORE RELYING ON IT.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AGENDADECK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $5.00, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in those jurisdictions the above limitations apply to the maximum extent permitted by law.
9. Indemnity
You agree to indemnify and hold harmless AgendaDeck and its contributors from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Service or violation of these Terms.
10. Termination
You may stop using AgendaDeck at any time by uninstalling the plugin from the Stream Deck app. We may terminate or suspend your license if you materially breach these Terms. On termination, sections 7 through 11 survive.
11. Governing law
These Terms are governed by the laws applicable at the AgendaDeck team's principal place of business, without regard to its conflict-of-laws principles. The courts located there have exclusive jurisdiction over any dispute arising out of these Terms, except where applicable consumer-protection law gives you the right to bring proceedings in the courts of your country of residence.
12. Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top of the page reflects the latest version. Material changes will be announced in the AgendaDeck Property Inspector or by email if we have one for you. Continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
